Terms of Service

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 13 years of age (or the minimum age required in your jurisdiction) and agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

Sereno is a weekly and daily planning application designed to help users organize tasks, manage their schedules, and maintain a peaceful planning experience. Key features include:

• Week View — A column-based weekly planner for organizing tasks across days.
• Daily Planning — A focused view for planning tasks for a specific day.
• End-of-Day Reflection — A tool for reviewing completed and uncompleted tasks with encouraging feedback.
• Calendar View — An optional view that integrates with Google Calendar to display events alongside tasks.
• Task Management — Create, organize, and manage tasks with titles, subtasks, tags, priorities, due dates, and time estimates.
• Custom Lists — Create personalized lists to organize tasks beyond the default Inbox.
• Auto Rollover — Unfinished tasks automatically move to the next day.
• Burnout Hours — A configurable daily workload limit to help prevent overwork.
• Notifications — Task reminders and scheduling notifications based on your preferences.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. Account Registration

3.1 Account Types

You may create an account using:

• Email and password — You provide an email address and create a password.
• Google Single Sign-On (SSO) — You authenticate using your Google account.

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorized use of your account.

We are not liable for any loss or damage arising from unauthorized use of your account.

3.3 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

4. Subscription Plans

4.1 Free Plan

Sereno offers a free plan with limited features, including:

• Limited number of custom tags
• Limited number of custom lists
• No access to priorities or due dates
• Other power features as determined by us

We reserve the right to modify the features available in the free plan at any time.

4.2 Premium Plan

The premium plan unlocks full access to all Sereno features, including unlimited tags, lists, priorities, due dates, and other power features. Premium subscriptions are processed through:

• Polar.sh — for purchases made on the Sereno web/desktop platform.
• RevenueCat — for in-app purchases made on iOS (Apple App Store) and Android (Google Play).

4.3 Pricing

Subscription pricing is displayed within the Service and on our website. Prices are subject to change with reasonable notice. Price changes will take effect at the start of your next billing cycle after the announcement.

4.4 Billing

• Premium subscriptions are billed on a recurring basis (monthly or annually, as selected at purchase).
• Web/Desktop purchases (Polar.sh): You authorize Polar.sh to charge your selected payment method for all applicable fees.
• iOS purchases (Apple App Store): Payment will be charged to your Apple ID account at confirmation of purchase.
• Android purchases (Google Play): Payment will be charged to your Google Play account at confirmation of purchase.
• All fees are non-refundable except as described in our Refund Policy.

4.5 Auto-Renewal and Cancellation

All premium subscriptions renew automatically unless cancelled. The cancellation method depends on where you purchased:

• Web/Desktop (Polar.sh): You can cancel your subscription at any time by contacting us or through your account settings on the Sereno web platform. Cancellation takes effect at the end of the current billing period.
• iOS (Apple App Store): Your subscription automatically renews unless cancelled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel your subscription by going to your Account Settings on the App Store after purchase. Deleting the Sereno app does not cancel your subscription.
• Android (Google Play): You can manage and cancel your subscription at any time through Google Play's subscription settings. Cancellation takes effect at the end of the current billing period.

If you cancel, you will continue to have access to premium features until the end of your current billing period. After that, your subscription will be downgraded to the free plan.

4.6 Free Trials

If a free trial is offered at the time of purchase:

• The trial period duration will be clearly displayed before you confirm your purchase.
• At the end of the trial period, your subscription will automatically convert to a paid subscription unless cancelled before the trial ends.
• You may cancel at any time during the trial period without being charged.

5. User Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems.
• Interfere with or disrupt the Service, servers, or networks.
• Use the Service to transmit any harmful, offensive, or inappropriate content.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated tools (bots, scrapers) to access or interact with the Service, unless explicitly authorized.
• Resell, sublicense, or distribute the Service without our written consent.
• Impersonate another person or misrepresent your affiliation with any person or entity.

6. User Content

6.1 Ownership

You retain all rights to the content you create within the Service, including tasks, lists, tags, reflections, and any other data you input (“User Content”).

6.2 License to Us

By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, and display your User Content solely for the purpose of providing and improving the Service.

6.3 Data Export

You may export your User Content at any time through the features available in the Service.

6.4 No Responsibility

We do not review, monitor, or assume responsibility for User Content. You are solely responsible for the content you create and store within the Service.

7. Intellectual Property

7.1 Our Rights

The Service, including its design, code, features, branding, and documentation, is owned by Sereno and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written consent.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable license to use such feedback for any purpose without compensation to you.

8. Third-Party Integrations

8.1 Google Calendar

The Service may integrate with Google Calendar to display your events. By connecting your Google Calendar:

• You authorize Sereno to access your calendar data as described in our Privacy Policy.
• You are subject to Google's Terms of Service in addition to these Terms.
• We are not responsible for the availability, accuracy, or functionality of Google Calendar.

8.2 RevenueCat

In-app purchases and subscription management on iOS and Android are handled by RevenueCat. By making a purchase through the mobile app:

• You agree to RevenueCat's Terms of Service and Privacy Policy.
• RevenueCat facilitates subscription verification and status tracking across platforms.
• We are not responsible for errors, delays, or issues arising from RevenueCat's services.

8.3 Polar.sh

Payment processing for web/desktop purchases is handled by Polar.sh. By making a purchase on the web platform:

• You agree to Polar.sh's Terms of Service and Privacy Policy.
• We are not responsible for errors, delays, or issues arising from Polar.sh's payment processing.

8.4 Other Integrations

The Service may integrate with additional third-party services in the future. Such integrations are subject to the respective third party's terms and policies.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from the Service will be accurate or reliable.
• Any defects in the Service will be corrected.

The Service is a planning and productivity tool. We are not responsible for any decisions you make, actions you take, or outcomes resulting from your use of the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERENO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, data, use, goodwill, or other intangible losses.
• Damages resulting from your use of or inability to use the Service.
• Damages resulting from any content or conduct of any third party in connection with the Service.
• Damages resulting from unauthorized access to or alteration of your data or transmissions.

Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the greater of: (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Sereno, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any rights of a third party.
• Your User Content.

12. Termination

12.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in the Service.

12.2 By Us

We may suspend or terminate your account and access to the Service at any time, with or without notice, for:

• Violation of these Terms.
• Conduct that we reasonably believe is harmful to other users, us, or third parties.
• Extended periods of inactivity.
• Requests by law enforcement or government agencies.

12.3 Effect of Termination

Upon termination:

• Your right to access the Service ceases immediately.
• We will retain your data for up to 30 days, after which it will be deleted or anonymized.
• Any outstanding fees remain payable.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles. You agree that any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Philippines.

If you access the Service from outside the Philippines, you are responsible for compliance with local laws where applicable.

13.2 Dispute Resolution

Any disputes arising from or related to these Terms or the Service shall first be attempted to be resolved informally through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue resolution through the courts of the Philippines.

Nothing in this section limits your right to seek relief through applicable statutory consumer protection laws in your jurisdiction.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the Service and updating the “Last Updated” date. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Sereno regarding the Service and supersede all prior agreements and understandings.
